Before you accept — please read

This is a binding contract. The following terms are especially important:

  • The $295 fee is non-refundable for any reason, including illness, travel, or change of plans.
  • Disputes will be resolved by binding arbitration in Pima County, Arizona. You waive your right to a jury trial and class actions.
  • Spoke Coworking's total liability is limited to $295 (the amount you paid).
  • The pass does not renew — it simply ends on Labor Day.
  • The membership card is non-transferable; sharing terminates the agreement immediately with no refund.
  • The plan covers business hours only (Mon–Fri, 8 AM – 5 PM). No after-hours or 24/7 access.

Article I — The Summer Promo Plan

This agreement covers the Spoke Coworking Summer Promo Plan — a flat-rate, limited-term drop-in access pass valid from the Member's Start Date through Labor Day of the applicable promo year. This plan is a one-time seasonal promotion and does not renew.

Section 1.1 — What's Included

(a) Unlimited drop-in access to open desks and available private suites at both Spoke Coworking locations — 6700 E Speedway Blvd (Lounge & Suites) and 5151 E Broadway Blvd, Ste 1700 (Tower Suites) — during business hours, Monday through Friday, 8 AM to 5 PM.

(b) Member may visit one or both locations on the same day. No advance booking is required or available under this plan. Upon arrival, Member checks in at the front desk and staff will assign an available open desk or furnished suite at their discretion.

(c) All available suites are fully furnished with sit/stand desk and chair. Open desk areas include access to shared workspace, lounge, kitchen, snack bar, and printing (free; subject to limited use).

(d) Access at both locations is limited to business hours: 8 AM – 5 PM, Monday through Friday. Member must vacate by 5 PM each day.

(e) Member receives a Premium membership card. This card must be presented at the front desk upon each visit. Without the card, entry may be denied at staff discretion.

Section 1.2 — What's Not Included

(a) No key fob, alarm code, or after-hours access of any kind. This plan does not include 24/7 building access.

(b) No advance booking or reserved spaces. Availability is first-come, first-served. Spoke Coworking does not guarantee that a specific space type will be available on any given day.

(c) No access to meeting rooms, conference rooms, podcast studio, or event spaces. These remain bookable at standard non-member rates.

(d) No gym, fitness center, or shower access.

(e) No EV charging discount.

(f) No covered parking. Standard free surface parking is available at both locations on a first-come, first-served basis.

(g) No mail handling services, virtual mailbox, or use of the Spoke Coworking address for business correspondence.

(h) No Google Business Profile verification. This plan does not provide a qualifying business address for Google My Business purposes.

(i) No guest access. Member access is for the sole use of the named Member only. Guests of Member may visit only by purchasing day passes at the standard non-member rate upon arrival.

(j) No renewal. This plan expires on Labor Day of the applicable promo year and does not automatically renew.

Article II — Payment

The total cost of the Summer Promo Plan is $295.00 for the full term, regardless of start date. Payment is due in full on or before the Member's Start Date. The plan does not begin until payment is received and confirmed.

Section 2.1 — No Proration

This plan is offered at a flat rate of $295 for the full summer term. No prorated or partial amounts are available. Members who sign up after the start of the promo period pay the same $295 and receive access through Labor Day — the end of the term is fixed and does not extend based on the signup date.

Section 2.2 — No Refunds

ALL FEES PAID UNDER THIS AGREEMENT ARE NON-REFUNDABLE. There are no refunds for unused days, early departure, voluntary cancellation, or inability to use the Space for any reason including illness, travel, or change of plans. If Host terminates this Agreement due to Member's violation of its terms, no refund will be issued.

Section 2.3 — Incidentals

Optional services beyond what's included may be available at standard rates and will be invoiced separately. A valid payment method must be on file to access incidental services. Incidentals are due upon invoice.

Section 2.4 — Credit Card Processing Fee

A 2.9% credit card processing fee applies to payments made by credit card. This fee is non-refundable. Members may avoid this fee by paying via ACH transfer, cash, check, or Zelle.

Article III — Membership Card

Upon execution of this Agreement and receipt of payment, Member will be issued a Premium membership card. This card is issued for the use of the named Member and is not transferable.

Section 3.1 — Required for Entry

Member must present their membership card at the front desk upon each visit to either location. Staff will verify the card before assigning a workspace. If Member arrives without their card, staff may deny entry at their discretion, require alternative verification, or issue a one-time exception. Spoke Coworking is not responsible for any lost access time resulting from a forgotten or missing card.

Section 3.2 — Lost or Damaged Card

If the membership card is lost, stolen, or damaged, Member must notify Spoke Coworking immediately at info@spokeco.work. A replacement card may be issued at a fee of $10.00. Spoke Coworking is not responsible for unauthorized use of a reported lost or stolen card prior to notification.

Section 3.3 — No Card Sharing or Transfer

The membership card is issued solely for the use of the named Member. Sharing, lending, or transferring the membership card — or allowing any other person to present it for entry — is strictly prohibited and constitutes an immediate material breach of this Agreement. Upon discovery of card sharing, this Agreement will be terminated immediately with no refund of any fees paid. Spoke Coworking reserves the right to retain the card and bar the named Member from future promotional programs.

Article IV — Access and Use

Member's access to the Space is governed by this Agreement and the House Rules attached as Exhibit A. Member agrees to comply with all House Rules and any instructions given by Spoke Coworking staff.

Section 4.1 — Hours and Vacating

Access is available Monday through Friday, 8 AM to 5 PM only. Member must leave the Space by 5 PM each day. Staff will give a closing reminder. Members who do not vacate by closing time may be asked to leave immediately and may be subject to termination of this Agreement at Host's discretion.

Section 4.2 — Space Assignment

There is no advance booking under this plan. Member arrives, presents their membership card, and staff assigns the best available open desk or furnished suite at that time. Spoke Coworking does not guarantee availability of any specific space type on any given day. If no space is available at either location, Member may not be accommodated that day — this does not entitle Member to a refund or credit.

Section 4.3 — Single Member Use Only

This plan covers one named Member only. Member may not bring guests into the workspace under this plan. Guests who wish to access the Space must purchase a day pass at the standard non-member rate upon arrival at the front desk. Member is responsible for ensuring their guests pay before entering the workspace.

Section 4.4 — Conduct

Member agrees to conduct themselves professionally at all times and to comply with the House Rules in Exhibit A. Spoke Coworking may terminate this Agreement immediately and without refund for any violation of the House Rules, including but not limited to: harassment of staff or other members; use of the Space for illegal purposes; damage to property; or any conduct that Spoke Coworking determines, in its sole discretion, is disruptive or harmful to the community.

Section 4.5 — No License Interest

This Agreement creates a revocable license to use the Space during the Term. It does not create a lease, tenancy, or any other interest in real property. Spoke Coworking retains full legal possession and control of the Space at all times. Host reserves the right to terminate this Agreement at any time for cause, without refund.

Article V — Termination

This Agreement automatically expires on Labor Day of the applicable promo year. No notice of non-renewal is required — the plan simply ends.

Section 5.1 — Termination by Host

Spoke Coworking may terminate this Agreement immediately and without refund for any of the following: (a) card sharing, lending, or transfer; (b) harassment, threats, or abusive conduct toward staff or other members; (c) illegal activity on the premises; (d) damage to the Space or Host property; (e) failure to vacate by closing time after a warning; (f) any conduct that, in Host's sole reasonable discretion, is incompatible with a safe, professional coworking environment.

Section 5.2 — Effect of Termination

Upon termination for any reason, Member's right to access the Space ceases immediately. Member must surrender their membership card upon request. No refund of any portion of the $295 fee will be issued upon termination, regardless of how much of the term remains.

Article VI — Liability and Indemnity

Important — Please Read Carefully

SPOKE COWORKING IS NOT RESPONSIBLE FOR ANY LOSS, DAMAGE, THEFT, OR INJURY TO MEMBER OR MEMBER'S PROPERTY WHILE ON THE PREMISES. MEMBER USES THE SPACE ENTIRELY AT THEIR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPOKE COWORKING'S LIABILITY TO MEMBER FOR ANY CAUSE WHATSOEVER IS LIMITED TO THE AMOUNT PAID BY MEMBER UNDER THIS AGREEMENT ($295.00).

Member agrees to indemnify, defend, and hold harmless Spoke Coworking LLC, its owners, employees, agents, and landlords from any claims, damages, costs, or expenses (including attorney fees) arising from Member's use of the Space, Member's conduct on the premises, or Member's violation of this Agreement or the House Rules.

Member acknowledges that the Space is provided "as is" with no warranties of any kind, express or implied, including any warranty of fitness for a particular purpose, availability, or uninterrupted access.

Article VII — Miscellaneous

Section 7.1 — Governing Law

This Agreement is governed by the laws of the State of Arizona, with venue exclusively in the courts of Pima County, Arizona.

Section 7.2 — Dispute Resolution

Binding Arbitration & Class Action Waiver

Any disputes arising out of or in connection with this Agreement shall be resolved exclusively through binding arbitration in accordance with the rules of the American Arbitration Association, seated in Pima County, Arizona. By accepting this Agreement, Member waives the right to a jury trial and the right to participate in any class or collective action. The prevailing party is entitled to recover reasonable attorney fees and costs.

Section 7.3 — Entire Agreement

This Agreement and the attached House Rules (Exhibit A) and Data Connection Terms (Exhibit B) constitute the entire agreement between the parties with respect to the Summer Promo Plan and supersede all prior discussions. This Agreement may only be modified in writing signed by both parties.

Section 7.4 — Severability

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions continue in full force and effect.

Section 7.5 — Data Privacy

Host collects Member's name, contact information, and payment information solely to administer this Agreement. Host will not sell Member's personal information to third parties. In the event of a data breach, Host will notify Member in accordance with applicable Arizona law (A.R.S. § 18-552).

Section 7.6 — Electronic Signatures and Acceptance

The parties agree that this Agreement may be executed and accepted electronically. For purposes of this Agreement, references to "writing," "signed," and "execution" include electronic records and electronic signatures executed in compliance with the federal Electronic Signatures in Global and National Commerce Act (ESIGN), 15 U.S.C. § 7001 et seq., and the Arizona Electronic Transactions Act, A.R.S. § 44-7001 et seq. By clicking "I Agree" or its functional equivalent, Member affirms that (a) Member has had a reasonable opportunity to review this Agreement and the attached Exhibits; (b) Member intends their electronic acceptance to constitute a legally binding signature, with the same force and effect as a handwritten signature; and (c) Member consents to receive this Agreement, related notices, and any future amendments by electronic means.

Exhibit A — House Rules

Welcome! All of us at Spoke Coworking want to share in an amazing office experience and get along while doing it. We have therefore put these rules in place to ensure just that. Please review them as they are updated.

By using our space, you further agree to: (a) our Privacy Policy at https://spokecoworkingtucson.com/privacy-policy; (b) that you are opting into our Weekly Newsletter, Member Portal, and emails, which you can unsubscribe from at any time; and (c) our Refund Policy at https://spokecoworkingtucson.com/refund-policy/.

Our Promise to You

Spoke Coworking is committed to providing: a welcoming, productive, and enjoyable place to work Monday–Friday from 8 AM–5 PM; a beautiful, furnished, and clean workspace; blazing-fast, redundant internet; endless beverages (coffee, lattes, hot cocoa, water, tea, sparkling water, and crunchy ice — note: beyond water, this does not include your guests); access to shared workspace and private suites, library, podcast studio, huddle hub, meeting rooms, and mail room; simple booking availability via members.spokeco.work; a safe workspace with alarm, intrusion detection, motion detectors, and cameras; and an open-door policy direct to the Management team at info@spokeco.work.

Your Responsibilities

Above all, remember we are a coworking community. We will look out for each other and be polite and accepting of each other.

  • All desks, meeting rooms, suites with doors, and phone booths are bookable. Please utilize the Member portal or app to book these spaces in advance.
  • If you have weekend or after-hours access, we are entrusting our space to you. Book any used space and do not have unscheduled events.
  • Be aware of your booking time. If you do not have 24/7 access, you must leave by 5 PM.
  • When you leave, make sure the space is in the same or better condition as when you walked in. Flush and verify toilet use, wipe the counter, place dirty dishes in the dishwasher, throw away used tissues, napkins, and wrappers. If you leave a mess, you may be charged or your contract may be terminated.
  • Speak softly when not in shared/public areas. Voices carry; people are working.
  • Do not obstruct or block any hallways, doorways, or walkways. Do not place trash outside any suites or in any hallways during the day.
  • No freight, furniture, or other large or bulky items will be moved into or out of the building(s) without scheduling and approval.
  • Don't borrow your neighbor's or Spoke Coworking's belongings without permission. Use your own, and if you need something, ask our team.
  • Do not poach Spoke Coworking employees or solicit them or your neighbors.
  • No smoking or vaping in any indoor area; strictly limited to outdoor posted and marked areas.
  • No illegal substances or weapons inside the building(s) or on the property (see License terms for exceptions).
  • No space heaters, candles, indoor fireplaces, fish tanks, or live plants without drainage plates.
  • No portion of the premises shall be used as lodging or sleeping.
  • If you break, lose, or damage something, we ask that you make it right.
  • Use a cover when microwaving food, then wash the microwave cover.
  • Ask for help anytime it's needed.
  • Remember it's our network — think before you click. No BitTorrent or pornography. Spoke Coworking cannot be responsible for third-party data, websites, links, or services.
  • No key or fob sharing is permitted. If you have a guest you want to provide access to, we can set that up at our standard costs.
  • Practice kindness. We have zero tolerance for harassment of any kind. Every Spoke Coworking member and guest should feel welcome and comfortable in our space regardless of race, gender, sexual orientation, gender identity, religion, or other personal attributes or beliefs.
  • Keep it legal. Zero tolerance for using Spoke Coworking buildings, spaces, or grounds to conduct any illegal activities.
  • Please wear clothes and shoes at all times. This is an office setting, not your home.
  • Honor everyone's privacy. Do not take photos or videos in or around the building(s) without prior request and agreement.
  • Do not ask others to leave any space or touch or remove personal belongings from any space or shared facility.
  • Shared facilities (phone booth, refrigerators, microwave, toaster oven, shared seating, Board Room, Conference Lounge, Flex Space, Podcast Studio, Mail Room, and Lounge) are first-come, first-served. Please take good care of them.
  • No pets in or about the property. See ADA guidelines for clarity.
  • Do not eat lunch in the phone booth. Phone booth is for one hour at a time. If you need longer in a private space, book a suite.
  • Furnishings in any room belong to and remain owned by Spoke Coworking.
  • Copier/Scanner/Printer is first come, first served and requires a code for access. Use is included free during the Summer Promo, subject to limited use; commercial-volume printing may be billed.
  • You're welcome to have food delivered. Note your suite number and come to the front desk to await delivery.
  • Do not host any event without advance notice — fees may be incurred. If you have guests, arrive before them and depart after they leave.
  • Do not canvas, solicit, or peddle your wares.
  • Personal property is your own responsibility. Spoke Coworking is not liable for any loss, theft, or damage to your belongings.
  • Communicate. Tell us about changes to your contact or payment information. Read our newsletter, member portal posts, emails, and correspondence.
  • Practice confidentiality. If you see something someone is working on, forget it immediately.

The House Rules may be adjusted or amended at any time. Notice of changes will be provided via official channels, including the Member Portal, Weekly Newsletter, and/or your registered email. Continued use of the Space after an amendment becomes effective constitutes acceptance of the updated House Rules.

Exhibit B — Data Connection Terms of Service

While you are at Spoke Coworking, you may connect to our network to access the internet (the "Connection"). The Connection is provided by Spoke Coworking, LLC or an agent or affiliate of same. By using or accessing the Connection, you agree to these terms of service. We may revise these terms at any time. If you do not accept these terms, you may not use the Connection.

Access

Your access to the Connection is at our discretion. Access may be blocked, suspended, or terminated at any time and for any reason, including violation of these terms or disruption of access to other users or networks. The Connection may be subject to unavailability due to emergencies, service failures, equipment or network problems, interference, or maintenance.

Privacy & Security

You acknowledge that no data network or internet-based communication is 100% secure; communications could be intercepted by hackers, equipment, and software, and no such communication should be considered private or protected. Subject to applicable law and our Privacy Policy, we have the right, but not the obligation, to monitor, intercept, review, and disclose, without further notice, any transmissions over or use of our Connection to comply with lawful process, orders, warrants, or subpoenas, or to protect our rights, property, and users.

Prohibited Uses

Accessing or using the Connection in any way that violates applicable law or could harm us or any third party is prohibited. You may not:

  1. Upload or transmit viruses, worms, spam, or anything designed to disrupt computer or network operations, or anything defamatory, offensive, or obscene.
  2. Take any action that imposes an unreasonable load on our network or threatens our system or network security.
  3. Use the Connection to infringe or violate the intellectual property rights of any third party.
  4. Share our IP address or ISP internet connection with anyone.
  5. Reproduce, transmit, disseminate, or resell the Connection without our express written permission.

Additional Disclaimers

The Connection is provided on an "as is" and "as available" basis. To the extent permitted by law, we disclaim all warranties and terms, express or implied, including warranties as to availability, operation, security, performance, and use of our services. None of the Spoke Coworking Parties will be liable to you under any cause of action for any indirect, special, incidental, consequential, reliance, or punitive damages, including loss of profits or business interruption. You will indemnify the Spoke Coworking Parties from and against any and all claims, liabilities, and expenses (including reasonable attorneys' fees) resulting from any breach of this agreement by you.
